3. Account Registration
3.1 Account Creation
You agree to provide accurate information and maintain your account securely. You are responsible for all activities under your account.
3.2 Third-Party Login
We support Google OAuth login. By using it, you allow us to access basic profile information for authentication purposes.
3.3 Security
You must notify us of any unauthorized access. We may suspend accounts for security reasons.
4. Engagements & Payments
Services are provided under a separate agreement defining scope, pricing, and timelines.
- Deposits may be required before starting work.
- Payments follow agreed milestones.
- Late payments may incur fees where legally permitted.
5. Intellectual Property
Upon full payment, clients receive rights to final deliverables. NextGenSoft retains ownership of reusable tools, frameworks, and internal systems.
6. Client Responsibilities
- Provide required access and materials.
- Respond to feedback and approvals on time.
- Ensure provided content is legally owned.
- Comply with applicable laws.
7. Content & Data
We follow industry-standard security practices including HTTPS encryption, secure authentication, and access control. However, no system is 100% secure.
8. Service Availability
We do not guarantee uninterrupted service. Maintenance, outages, or third-party failures may affect availability.
9. Third-Party Services
We may use third-party services such as hosting providers, authentication systems, and APIs. Each is governed by its own terms.
10. Limitation of Liability
Services are provided "as is". NextGenSoft is not liable for indirect, incidental, or consequential damages. Total liability is limited to fees paid in the last 12 months.
11. Indemnification
You agree to hold harmless NextGenSoft from claims arising from misuse of services or violation of these Terms.
12. Warranties
We ensure professional-grade development services. However, third-party components are not covered under warranty.
13. Confidentiality
We protect all confidential client information and only disclose it when required by law or with permission.
14. Disclaimer of Warranties
We do not guarantee error-free or uninterrupted services.
15. Independent Contractors
NextGenSoft operates as an independent contractor and not as an employee, partner, or joint venture of any client.
16. Changes to Terms
We may update these Terms at any time. Continued use of our services means acceptance of the updated Terms.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of Ontario, Canada and applicable federal laws of Canada.
Any disputes will be resolved through negotiation and, if necessary, arbitration in Toronto, Ontario, Canada.
